Overview
The Filing Manager (FM) service automates the submission of 13G and FormSHO (13f-2) straight from our platform using the SEC’s portal.
Workflow
Step-by-Step Instructions:
Select from the Regulator dropdown “United States - SEC”.
Upload the appropriate XML file, either the 13G or Form SHO.
The column Number of share classes allows users to validate this number for the Form SHO submission; the number displayed in this column should match the “results” number from the 13f-2 monitoring screen.
Users can upload a maximum of five files. If you have more than five files to submit to the SEC, you can upload them in batches in order to submit them all at once.
Ensure the CIK password associated with the Filing Manager settings for the SEC is correctly entered.
Once the filings are ready to submit, click Send, and our integration will submit the forms.
Filing Manager will update the status of the filing according to the SEC response:
“Filed” means the SEC accepted the filing, and more information can be retrieved from the audit trail.
“Rejected by Regulator” means the SEC has suspended the filing. The submission message will explain why, and more information can be retrieved from the audit trail.
“Error” an error occurred, and more information will be shown in the Submission message explaining to the user what action they must take.
FAQ
Q: Do I have to input my password every time I want to file a form?
A: No. When uploading the file, our system identifies the CIK code and displays it to the user in the FM SEC settings. If the CIK was previously used for a submission, there is no need to input the password again. Users will only need to update their password if it was also updated with the SEC. Users can also remove a CIK/password. In the FM SEC settings, find the outdated credentials and click Delete.
Q: Does the Filing Manager submission process for the SEC submit the forms using its own CIK code?
A: No. Filing Manager uses the end-user's CIK/Password information when submitting to the SEC. Just like all the other integrations in Filing Manager, we are automating the process for you and filing the report on your behalf using your login/password credentials. For all intents and purposes, this works as if the user is filling the position with the SEC, not FundApps.
Q: What type of forms can I file using FM SEC?
A: 13G, 13G amendments, FormSHO and FormSHO amendments.
Q: What happens if I upload the wrong file?
A: If the file shows as “Unactioned” in the Filing Manager screen, users can click on the Clear button at the top to remove the wrong “Unactioned” file. This action will remove all “Unactioned” files from the screen so that the user can upload the correct files.
Q: What does the column Live or Test mean?
A: The SEC allows users to test a submission file if they wish to validate it beforehand. This means we will be using the test path, and the position will not be considered as “Filed” by the SEC. The user can change this flag in the file itself under the <liveTestFlag>TEST</liveTestFlag>
section of the XML file. This column indicates if the file uploaded had the Test or Live flag saved. “Live” means the user is pushing a live filing to the SEC, which can be filed/rejected according to the SEC's rules.
Q: What does the column Number of share classes mean?
A: This column allows the user to quickly validate whether the uploaded Form SHO contains the same number of share classes flagged in their 13f-2 monitoring results.
Q: What happens if EDGAR rejects their filings?
A: Users can check the audit trail by selecting the three-dot menu icon to check the reasoning for the rejection and take action to correct their filings before attempting a new submission.
Q: How does the user know if the filings were accepted?
A: The Filing Manager will update the status to “Filed” and display the SEC's confirmation message in the audit trail (three-dot menu icon).
